Decisions at Rezidor?s Annual General Meeting 2013

The Annual General Meeting of Rezidor Hotel Group AB was held on April 24, 2013 in Stockholm. During the meeting, the following decisions were taken:

Dividend: It was decided that no dividend will be paid for the year 2012.

Board of Directors: The following members were re-elected: Staffan Bohman, G?te Dahlin, Anders Moberg, Wendy Nelson and Trudy Rautio. Trudy Rautio was elected as the Chair of the Board of Directors. Douglas M. Anderson was elected as new Board member.

Auditors: Deloitte AB was elected as the company?s auditors for a three year period until the end of the Annual General Meeting 2016.

Long Term Incentive Programme: The meeting approved the Board of Directors? proposal for the Long Term Incentive Programme for the company?s key management.

Articles of Association: It was decided to amend the company?s articles of association whereby the period of the auditors mandate was changed from four to three years.
